Terms of Service

These Terms of Service (“Terms”) are an agreement between you and ORQVION, a Pakistan-based company led by Muhammad Faheem Bantva, Founder & Chief Executive Officer, regarding:

• the ORQVION desktop application and CLI;
• this website (orqvion.com);
• licenses (Free, Pro, Business, Enterprise);
• payments completed through this site or the desktop catalog.

Enterprise customers are also governed by their master service agreement, order form, and any data processing addendum. If those documents conflict with these Terms, the signed enterprise documents win for that customer.

By downloading, installing, activating, or paying for ORQVION, or by using this website, you agree to these Terms and to the Privacy Policy, Refund Policy, and Return Policy.

If you do not agree, do not use the product.

1. Who may use ORQVION

You must be able to form a contract under applicable law. If you use ORQVION for an organisation, you represent that you have authority to bind that organisation.

ORQVION is a professional software engineering tool. You are responsible for how you and your agents use it.

2. The product we actually license

ORQVION Online Beta is a desktop AI IDE and autonomous coding agent with online and offline AI (AUTO routing). It includes an editor, online paths by default (BYOK optional), offline ORQVION AI + GGUF via llama.cpp (not the Ollama app), an agent with approvals and optional Docker sandbox, project indexing, Git/terminal/debug, stack adapters (web, Laravel, mobile, and others on Features), and optional enterprise controls.

We describe shipped capabilities honestly. Deferred items (GitLab review-bot parity, cloud background agents, polished mobile team mesh) are labelled on the Features page. Marketing copy is not a warranty that every roadmap item is production-complete.

3. Accounts, licenses, and devices

• Plans are Free, Pro, Business, and Enterprise, with the entitlement matrix on Pricing. Live PKR packages come from the license server when it is published.
• License keys and seats are device-bound according to plan limits. Sharing a seat beyond those limits is a breach.
• Offline allowances, if any, follow the plan and license server rules.
• You must keep activation data accurate. We may suspend licenses that are abused, fraudulently obtained, or used to attack the license service.
• Free tier limitations (including agent and model caps) are part of the product, not a defect.

4. Your content and AI output

You own your source code and project files. We do not claim copyright in your repositories.

You own AI-generated edits to the extent the law allows, subject to the model provider’s terms when you use a third-party model. ORQVION does not guarantee that generated code is correct, secure, non-infringing, or fit for production. You review diffs, run tests, and remain the engineer of record.

Do not use ORQVION to generate or disseminate malware, to attack systems you do not own or have authority to test, or to violate export, sanctions, or criminal law.

5. Acceptable use

You agree not to:

• reverse engineer the license or entitlement cryptography except as allowed by mandatory law;
• circumvent device binding, policy gates, or the container sandbox in a production deployment you do not administer;
• probe, scrape, or disrupt orqvion.com, checkout, or a license server without authorisation;
• upload unlawful content through Contact or other forms;
• use the agent against third-party systems without permission;
• misrepresent ORQVION output as human-authored where a regulator or client requires disclosure.

We may suspend or terminate access for serious or repeated breach.

6. Third-party components

The desktop app may use or connect to:

• Third-party model weights you download (their licenses apply);
• optional cloud AI APIs with your keys;
• Docker if you enable the sandbox;
• Git remotes, npm, Composer, and other tools you already use;
• payment providers (JazzCash, Easypaisa, banks);
• your SSO provider (OIDC, SAML, LDAP).

Those parties are not ORQVION. Their outages or policies are not our breach, except where we have a signed SLA with you.

7. Payments

Paid plans are charged as shown at checkout, typically in PKR for Pakistan methods. Taxes, gateway fees, and FX (if any) may be extra as displayed or as required by the provider.

Payment authorisation is handled by the gateway. A license is issued when the payment is confirmed according to that gateway and our license server — not when you merely open checkout.

8. Updates and changes to the service

We may ship updates, including security patches. You choose when to apply desktop updates, subject to any enterprise policy you run.

We may change website copy, plan packaging, and these Terms. The date at the top will change. Continued use after the effective date is acceptance of the update, except where Pakistani law requires a different rule for consumers.

We may discontinue a feature that was labelled experimental or MVP. We will not silently start uploading source as a “service improvement.”

9. Warranty disclaimer

Except as required by mandatory consumer law, ORQVION is provided “as is.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI systems hallucinate. Agents can propose harmful patches. Sandboxes reduce risk; they do not eliminate it. You must use approvals, review, and your own change control.

10. Limitation of liability

To the maximum extent permitted by Pakistani law:

• we are not liable for lost profits, lost code you failed to back up, or indirect damages;
• our total liability for a paid subscription is limited to the fees you paid to ORQVION for that subscription in the three (3) months before the claim (or PKR 0 for Free).

Nothing in these Terms excludes liability that cannot be excluded (for example, fraud or personal injury where the law forbids a cap).

11. Indemnity

If you are a business customer, you will defend and indemnify ORQVION against claims arising from your content, your misuse of the agent, or your violation of law — except to the extent caused by our wilful misconduct.

12. Governing law and disputes

These Terms are governed by the laws of Pakistan. Courts in Pakistan have exclusive jurisdiction, except that we may seek injunctive relief in any forum for license or IP abuse, and except for mandatory consumer venue rules that apply to you as an individual.
